1. Acceptance of Terms
Welcome to Bidroom! These Terms of Service ("Terms") constitute a legally binding agreement between you and Bidroom, Inc. ("Bidroom," "we," "us," or "our") governing your access to and use of our construction management platform, website, mobile applications, and related services (collectively, the "Services").
By creating an account, accessing, or using our Services, you agree to be bound by these Terms. If you do not agree, you may not use our Services.
Important: These Terms include an arbitration agreement and class action waiver. Please read Section 15 carefully.
2. Eligibility
To use Bidroom, you must:
- Be at least 18 years old
- Have the legal capacity to enter into binding contracts
- Not be prohibited from using our Services under applicable law
- Provide accurate, current, and complete registration information
For Contractors: You must hold valid licenses, permits, and insurance required by applicable state and local laws for the services you offer.
3. Account Registration and Security
Account Creation
- You must provide accurate and complete information during registration
- You must verify your email address to activate your account
- One person or entity may maintain only one account
- Business accounts must be registered by authorized representatives
Account Security
- You are responsible for maintaining the confidentiality of your login credentials
- You must immediately notify us of any unauthorized access
- You are responsible for all activities that occur under your account
- We recommend enabling two-factor authentication when available
4. Platform Services
What Bidroom Provides
Bidroom is a technology platform that connects property owners with contractors. We provide:
- Job posting and bidding tools
- Contractor verification and matching services
- Project management features (milestones, daily logs, photos)
- Secure payment processing and escrow services
- AI-powered tools for bid analysis, cost estimation, and compliance
- Messaging and communication tools
- Document management and contract generation
What Bidroom Does NOT Provide
Bidroom is not a contractor. We do not perform construction work, employ contractors, or guarantee the quality of work performed. We are a marketplace facilitating connections between property owners and independent contractors.
5. User Responsibilities
Property Owners
- Provide accurate project descriptions and requirements
- Make timely payments for completed milestones
- Communicate professionally with contractors
- Obtain necessary permits (unless contractor agrees to handle)
- Provide safe site access for contractors
Contractors
- Maintain valid licenses, permits, and insurance
- Provide accurate bids and complete work as agreed
- Comply with all applicable building codes and regulations
- Communicate project progress honestly
- Honor warranty and guarantee commitments
6. Fees and Payments
Platform Fees
- Payment Processing: 2.9% of transaction amount
- Escrow Services: 2.5% of protected funds
- Subscription Plans: As specified on our pricing page
- AI Credits: Pay-per-use or included in subscription
Payment Terms
- All payments are processed securely through Stripe
- Escrow funds are held until milestone completion and owner approval
- Refunds are subject to our refund policy and dispute resolution process
- You are responsible for all applicable taxes
Escrow Protection: Funds deposited in escrow are held by our payment processor and released only upon milestone approval. This protects both owners and contractors.
7. Contractor Verification
We verify contractors through:
- California State License Board (CSLB) license verification
- Insurance certificate validation
- Background check options
- Reviews and ratings from completed projects
Verification Limitations: While we make reasonable efforts to verify contractor credentials, we cannot guarantee the accuracy of all information. Property owners should independently verify critical credentials before hiring.
8. Prohibited Conduct
You agree NOT to:
- Provide false or misleading information
- Circumvent platform fees by transacting outside Bidroom
- Harass, threaten, or discriminate against other users
- Post fraudulent jobs or bids
- Violate any applicable laws or regulations
- Attempt to hack, scrape, or interfere with our Services
- Create multiple accounts or impersonate others
- Use automated tools to access our Services without permission
- Share login credentials with others
- Post content that infringes intellectual property rights
9. Intellectual Property
Bidroom's Rights
All Bidroom content, branding, software, and features are owned by Bidroom, Inc. and protected by intellectual property laws. You may not copy, modify, or distribute our intellectual property without permission.
Your Content
You retain ownership of content you upload (photos, documents, messages). By uploading content, you grant Bidroom a non-exclusive, worldwide license to use, display, and store your content as necessary to provide our Services.
10. AI Features and Limitations
Bidroom uses artificial intelligence to provide features such as:
- Smart Bid Analysis
- Contractor Matching
- Cost Estimation
- Compliance Assistance
- Photo Progress Analysis
AI Disclaimer: AI-generated recommendations and analyses are provided for informational purposes only. They should not replace professional advice from licensed contractors, architects, engineers, or attorneys. Bidroom is not liable for decisions made based on AI outputs.
11. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, BIDROOM DISCLAIMS ALL WARRANTIES INCLUDING:
- Merchantability and fitness for a particular purpose
- Non-infringement
- Accuracy, reliability, or completeness of content
- Uninterrupted or error-free service
- Security of transmitted information
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Bidroom is not liable for the acts or omissions of contractors or property owners
- We are not responsible for construction defects, delays, or disputes
- Our total liability shall not exceed the fees you paid to Bidroom in the 12 months preceding the claim
- We are not liable for indirect, incidental, special, or consequential damages
13. Indemnification
You agree to indemnify, defend, and hold harmless Bidroom and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorney fees) arising from:
- Your use of the Services
- Your violation of these Terms
- Your violation of any third-party rights
- Construction work performed or received through the platform
14. Dispute Resolution
Between Users
Disputes between property owners and contractors should first be resolved through our in-platform dispute resolution process. We may facilitate communication but are not obligated to resolve disputes.
Mediation
If informal resolution fails, parties agree to attempt mediation before pursuing legal action.
15. Arbitration Agreement
READ CAREFULLY: This section affects your legal rights.
Any dispute arising from these Terms or your use of the Services shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitration shall take place in Los Angeles County, California.
CLASS ACTION WAIVER: You agree to resolve disputes with Bidroom on an individual basis only. You waive any right to participate in class actions, class arbitrations, or representative actions.
Opt-Out: You may opt out of this arbitration agreement by sending written notice to legal@bidroom.com within 30 days of account creation.
16. Termination
- You may close your account at any time through account settings
- We may suspend or terminate accounts that violate these Terms
- Upon termination, your right to use Services ends immediately
- Provisions regarding disputes, liability, and indemnification survive termination
17. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any legal action not subject to arbitration shall be brought in state or federal courts located in Los Angeles County, California.
18. Changes to Terms
We may update these Terms periodically. Material changes will be communicated via email or platform notification at least 30 days before taking effect. Continued use after changes constitutes acceptance.
19. General Provisions
- Entire Agreement: These Terms constitute the complete agreement between you and Bidroom
- Severability: If any provision is unenforceable, remaining provisions remain in effect
- Waiver: Failure to enforce a right does not waive that right
- Assignment: You may not assign these Terms without our consent
